1. Your agreement with us

These Terms govern the IntroDirectly service provided by IntroDirectly LLC (“IntroDirectly,” “we,” or “us”). By accepting these Terms when joining or accessing the service, you agree to them. If you act for an organization, you represent that you have authority to bind it; “you” then includes that organization. If you do not agree, do not use the service.

IntroDirectly provides software and related services for professional recruiting. Features may change, and pilot or beta features may be limited or discontinued. A separately signed agreement or order controls where it conflicts with these Terms. Fees, payment, service levels, and any refund rights are governed by the applicable written agreement; these Terms do not create a paid subscription by themselves.

2. Accounts and access

You must have legal capacity to enter this agreement and authorization to use the relevant workspace. Provide accurate account information, keep credentials confidential, and promptly report suspected unauthorized access. You are responsible for activity you authorize and for managing the access of people acting on your behalf.

Subject to these Terms and any applicable order, we grant you a limited, non-exclusive, non-transferable right to use the service for your authorized business purposes during your access period. This does not transfer ownership of our software or other intellectual property.

3. Recruiting responsibilities

You are responsible for the lawful collection and use of information you provide, your search criteria, candidate evaluations, and communications. Obtain any required permissions, provide required notices, and honor privacy and opt-out requests. Professional information may be incomplete or outdated; verify it before relying on it.

The service supports, but does not replace, human judgment. You remain responsible for employment decisions and compliance with employment and anti-discrimination laws. Do not use the service as the sole basis for decisions that have legal or similarly significant effects on a person.

Outreach

Use only mailboxes you are authorized to connect. You are responsible for recipient selection and accurate sender identity, physical postal address, subject lines, and message content, as required by applicable law. Do not remove or bypass unsubscribe or delivery-safety controls. Service safeguards do not replace your own legal obligations.

Unacceptable use

  • Unlawful, discriminatory, misleading, harassing, or unsolicited communications that violate applicable law.
  • Accessing or disclosing information without permission, or infringing privacy, intellectual-property, or other rights.
  • Bypassing access restrictions, candidate opt-outs, sending limits, or third-party restrictions.
  • Introducing malicious code, interfering with the service, or testing its security without authorization.
  • Reselling access, copying the service, or reverse engineering it except to the extent applicable law permits.

4. Data and ownership

As between you and IntroDirectly, you retain your rights in content you provide. You grant us permission to host, process, and transmit that content as necessary to provide, secure, and support the service, fulfill your instructions, and meet legal obligations. You are responsible for having the rights needed to provide it. This permission is not a transfer of ownership.

Our Privacy Notice explains how we handle personal information. Any applicable data-processing agreement governs processing on your behalf. Connected-account information is subject to the additional restrictions described in the Privacy Notice; this agreement does not authorize broader use of it.

We and our licensors retain rights in the service, design, software, and documentation. If you voluntarily provide feedback, you allow us to use it without compensation; that permission does not override privacy obligations or grant rights in your confidential customer data.

5. Third-party services

You may choose to connect third-party accounts or use information from external sources. Those services remain subject to their own terms and privacy practices. You must have the required permissions and comply with those terms.

We do not control third-party services or guarantee their availability or accuracy. Changes or interruptions may affect integrated features. This does not remove any responsibility we have under applicable law or a separate agreement for providers processing data on our behalf.

6. Suspension and termination

We may restrict or suspend access to address a material breach, suspected unlawful or abusive activity, security risks, nonpayment under an applicable order, or legal requirements. Where reasonably practicable and lawful, we will explain the issue and give you an opportunity to address it. Immediate action may be necessary to protect the service or others.

You may stop using the service and contact us to request account closure. Any payment or termination obligations in a separate agreement still apply. Contact us about returning or deleting customer data; applicable agreements, legal requirements, and the retention practices in our Privacy Notice govern those requests.

Terms that by their nature should survive termination—including ownership, accrued payment obligations, disclaimers, and liability limits—will survive.

7. Disclaimers and liability

No guaranteed outcome

To the maximum extent permitted by law and subject to any express commitments in a separate agreement, the service is provided “as is” and “as available.” We disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee uninterrupted operation, candidate accuracy, message delivery, responses, or hiring outcomes.

Limits of liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or loss of profits, revenues, goodwill, or data arising from the service. IntroDirectly’s aggregate liability arising from the service will not exceed the fees paid or payable for the service during the three months before the event giving rise to the claim.

These exclusions and limits do not apply to fraud, willful misconduct, or any liability that cannot lawfully be excluded or limited. Nothing in these Terms removes mandatory rights you have under applicable law. A separate signed agreement may provide different limitations.

8. Updates and general terms

We may revise these Terms as the service or legal requirements change. We will post the revised date and give notice of material changes, requesting renewed acceptance where required. Changes do not retroactively alter accrued rights. If you do not agree to revised Terms, stop using the service and contact us about ending access, subject to any separate agreement.

These Terms and applicable written agreements form the agreement concerning the service. If a provision is unenforceable, the remaining provisions remain effective. Failure to enforce a provision is not a waiver. You may not assign this agreement without our written consent; we may assign it in connection with a merger, reorganization, or sale of the relevant business, subject to applicable law and data-protection obligations.
